Job Reports to: Senior Vice President, Deputy General Counsel

Status: Exempt

Position Summary:

The Counsel position will assist the Chief Legal Officer, Deputy General Counsel and co-Counsel with preparing, negotiating and managing a variety of contracts and legal documents for the Nashville Hockey Club, LP (“Nashville Predators”), Powers Management, L.L.C., Mid-Ice, LLC, and SS&E (collectively, the “Organization”).

Major Responsibilities/Activities:

  • Draft, analyze and manage contracts in a variety of areas pertaining to sports and entertainment, venue management, and intellectual property, including, without limitation: vendors and services, independent contractor, SaaS, sponsorship, suite, premium seating, filming, licensing and non-disclosure agreements.
  • Review and provide legal advice on all routine contracts and business arrangements for the Organization, including but not limited to anticipating and contract/deal issues and executing strategies to remediate risk to the Organization.
  • Draft rules and review materials for sweepstakes, contests and promotions.
  • Responsible for drafting contracts and addressing other matters related to the practice facility of the Nashville Predators.
  • Perform due diligence searches and vetting of potential clients/vendors.
  • Assist with advising on data privacy and information security matters, including compliance with applicable federal, state, and international data protection laws, development of privacy policies and procedures, data sharing agreements, and incident response protocols.
  • Assist with matters related to the Bridgestone Arena Transformation (“BAT”) project, including but not limited to reviewing and revising contracts, ensuring compliance with applicable laws and ordinances and administering BAT insurance program.
  • Collaborate with and advise other departments within the Organization to minimize risk and facilitate compliance issues to appropriate channels for investigation and resolution.
  • Serve as a point of contact and liaison with the Organization’s Ford Ice Centers (Antioch, Bellevue and Clarksville) and F&M Bank Arena (Clarksville, TN) and work from each of these facilities at least once per month.
  • Assist with oversight of risk management, including the Organization’s insurance program.
  • Assist with matters related to intellectual property, including but not limited to policing and enforcing the Organization’s intellectual property rights.
  • Identify and analyze relevant federal, state, and local requirements and translate into business solutions and processes as appropriate.
  • Assist with dispute resolution and litigation management for the Organization.
  • Manage and supervise participants of the SE101 Legal Internship program.
  • Perform other duties as assigned by management.

Minimum Requirements:

  • JD from an accredited law school.
  • Licensed to practice law in the state of Tennessee (or otherwise able to meet the requirement to Register as In-House Counsel with the Tennessee Board of Law Examiners) and in good standing.
  • 3-5 years of post-JD legal experience in drafting contracts and handling intellectual property matters. Data privacy and intellectual property experience a plus.
  • Strong contract drafting, analytical and writing skills with attention to detail.
  • Ability to execute and manage a high volume of projects and contracts independently and on short timeframes.
  • Business acumen with the ability to balance legal risk with commercial needs of the Organization.
  • Strategic and innovative thinker who can bring value to colleagues and find creative but practical business friendly approach to problem solving.
  • Possess a high degree of emotional intelligence and be able to effectively interact at all levels within the Organization.
  • Strong verbal and written communication skills, with an expert ability to present and communicate complex legal matters to non-attorneys.
  • Self-assured and confident in a variety of settings with a strong belief in own capabilities.
  • Upbeat temperament, dynamic personality and highly collaborative.
  • Valid driver’s license, possess a suitable driving history, be insurable by Organization’s insurance carrier and have reliable transportation.
  • As a condition of employment, qualified applicant will be subject to a background check, including a criminal history check, driving history and character references.

Essential Physical Functions:

  • High finger dexterity for typing.
  • Exposure to bright lights, extreme temperatures and loud noise.
  • Excellent speaking and listening skills, requiring the perception of speech.
